These Terms & Conditions ("Terms") govern your access to and use of ajrcapitalgroup.com and any related pages, features, content, or services that link to these Terms (collectively, the "Services"). The Services are provided by AJR Capital Group LLC ("AJR Capital Group,", “AJR Capital,” "Company," "we," "us," or "our").
By accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, you must not access or use the Services.
2. No Offer of Securities; No Investment, Legal, or Tax Advice

8. Unsolicited Submissions and Idea Submissions
AJR Capital Group does not accept unsolicited ideas, business plans, investment opportunities, deal proposals, property submissions, or similar materials (“Unsolicited Submissions”). If, despite this, you submit any Unsolicited Submission to us through the Services or otherwise (including by email or contact form):
You agree that the Unsolicited Submission is not confidential or proprietary;
You grant AJR Capital Group a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable, transferable license to use, reproduce, modify, and otherwise exploit the Unsolicited Submission for any purpose without restriction or compensation;
You represent that you have all rights necessary to grant the foregoing license; and
AJR Capital Group has no obligation to review, evaluate, return, acknowledge, or compensate you for any Unsolicited Submission, and may pursue investments, transactions, or strategies that are similar to, or that compete with, your Unsolicited Submission without any obligation to you.
Nothing in this Section creates a partnership, joint venture, fiduciary, advisory, brokerage, or other relationship with AJR Capital Group. If you wish to present an opportunity to AJR Capital Group on a confidential basis, you must obtain a written confidentiality agreement signed by an authorized officer of AJR Capital Group before submitting any information.
9. Intellectual Property
The Services, including all software, text, graphics, logos, photographs, renderings, designs, and other content (other than Unsolicited Submissions) are owned by or licensed to AJR Capital Group and are protected by copyright, trademark, and other intellectual property laws. Except as expressly permitted by these Terms, you may not copy, modify, distribute, publicly display, publicly perform, transmit, or create derivative works of any portion of the Services without our prior written consent.
“AJR Capital,” “AJR Capital Group,” and related logos and marks are trademarks of AJR Capital Group or its affiliates. Other names and marks are the property of their respective owners.
10. Third-Party Services and Links
The Services may contain links to, or integrate with, third-party websites, applications, or services. We do not control, endorse, or assume responsibility for any third-party content, products, services, policies, or practices. Your use of third-party services is governed by the third party’s terms and policies, and is at your own risk.
11. Service Availability and Changes
We may modify, suspend, or discontinue the Services (or any portion of them) at any time, with or without notice. We may also update these Terms as described in Section 17.
12. Disclaimer of Warranties
THE SERVICES AND ALL CONTENT, INFORMATION, MATERIALS, AND COMMUNICATIONS PROVIDED THROUGH THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AJR CAPITAL GROUP AND ITS AFFILIATES, OFFICERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AND LICENSORS (COLLECTIVELY, THE "AJR PARTIES") DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, THE AJR PARTIES MAKE NO REPRESENTATION OR WARRANTY THAT (A) THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (B) ANY INFORMATION ON THE SERVICES IS ACCURATE, COMPLETE, RELIABLE, OR CURRENT; OR (C) ANY INVESTMENT, PROPERTY, RETURN, PROJECTION, OR FORWARD-LOOKING STATEMENT REFERENCED ON THE SERVICES WILL BE ACHIEVED OR REALIZED.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE AJR PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR INVESTMENT, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AJR PARTIES’ TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STATUTE, OR OTHERWISE). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
14. Indemnification
You agree to defend, indemnify, and hold harmless the AJR Parties from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your access to or use of the Services; (b) any Unsolicited Submission or other content you provide; (c) your violation of these Terms; or (d) your violation of any law or third-party right.
15. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms or that your use creates risk for AJR Capital Group, other users, or third parties. You may stop using the Services at any time. Sections that by their nature should survive termination (including Sections 2, 3, 8, 9, 12, 13, 14, 16, and 17) will survive.
16. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to these Terms or the Services are governed by the laws of the State of California, without regard to its conflict-of-laws principles. The exclusive jurisdiction and venue for any dispute will be the state and federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of those courts. Each party waives any right to a jury trial to the maximum extent permitted by law.
17. Changes to Terms
We may update these Terms from time to time. We will post the updated Terms and revise the “Last Updated” date. If changes are material, we may provide additional notice. Your continued access to or use of the Services after the effective date of the updated Terms constitutes your acceptance of those Terms.
18. Miscellaneous
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and AJR Capital Group regarding the Services and supersede any prior or contemporaneous agreements regarding the same subject matter. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign these Terms without our prior written consent; we may assign these Terms without restriction.
